This contract agreement is made effective as of (Month, Day, Year) between eBizzTools Webdesign and (YOUR NAME OR COMPANY NAME), hereinafter referred to as client.

1) DESCRIPTION SERVICES
Beginning on the date above, eBizzTools Webdesign will provide the following services:

2) PAYMENT FOR SERVICES
When service is completed, client will be billed (agreed amount) for setup fees and (agreed amount)/month, for a minimum of one year.

3) TERM/TERMINATION
Contract is terminated after one year or may continue on a month-to-month basis, which can be canceled at anytime after one year.

4) WEBSITE DESIGN AND OWNERSHIP
Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information developed in whole or in part by eBizzTools Webdesign in connection with the Services shall be the exclusive property of eBizzTools Webdesign. Two exceptions area: a) Any and all HTML documents created specifically for Client are the property of Client, b) Any and all graphics created specifically for Client are the property of Client. In any case, no release of rights or ownership from eBizzTools Webdesign of any services is granted until payment for the services is received in full from Client.

5) CONFIDENTIALITY
eBizzTools Webdesign will not at any time or in any manner, either directly or indirectly, use for the personal benefit of eBizzTools Webdesign or divulge, disclose, or communicate in any manner, any information that is proprietary to the Client. This provision shall continue to be effective after the termination of this Agreement.

6) APPLICABLE LAW
This Agreement shall be governed by the laws of United States.

7) RIGHT TO PULL
Client agrees that eBizzTools Webdesign shall have the right to remove the web site from public viewing for failure to adhere to the terms of this Agreement, including violating any licensing agreements or failure to pay fees duly assessed.

8) POST PLACEMENT ALTERATIONS
eBizzTools Webdesign cannot accept responsibility for any alterations caused by a third party occurring to the Clients website once placed. If Client would like eBizzTools Webdesign to maintain their website a new contract will need to be made.

9) DESIGN CREDIT
A link to eBizzTools Web design will appear in small type at the bottom or in specific area of each website.

10) ERRORS AND LIABILITIES
Client is required to ensure that the content of their web site pages meets all the current legislation regarding publications. Client shall further indemnify eBizzTools Webdesign in respect of any claims; costs or expenses that may arise from any material included in Client's web site pages.

11) CUSTOMER REVIEW
eBizzTools Webdesign will provide Client with an opportunity to review the appearance and content of the web site once they are created. Such materials will be deemed to be accepted and approved unless Client notifies eBizzTools Webdesign in writing within (15) days of the date eBizzTools Webdesign sends proofs of such materials to Client.

12) IMPOSSIBILITY OF PERFORMANCE
Client acknowledges and agrees that eBizzTools Webdesign cannot guarantee the absence of service interruptions caused by Acts of God or other circumstances beyond its control including, but not limited to, telecommunications problems. Client acknowledges that eBizzTools Webdesign will not be held responsible for the appearance or operation of the web site pages within Web Browser software.

13) ENTIRE AGREEMENT
This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written, unless both parties have agreed and signed addition to contract. This agreement supersedes any prior written or oral agreements between the parties.
